and what's the difference between them and restricted sticks?

1. I assume you mean stock options given to directors or employees? These are share incentives. You may be given free options that give you the right to buy shares sometime in the future at a set price. Restricted stock is usually issued to directors and other insiders. As the shares are not listed on a stock exchange they cannot be transferred to the general public for a least one year then in the second year only if certain conditions have been met by the company.
