What does it mean to "increase the number of Issuable Option Shares and Restricted Stock"?

Would it decrease the stock value?

  1. It should. It means that management is planning to give shares of stock as compensation to employees. As those shares are acquired by the employees through ISOs, NSQs, and restricted stock, they expand the number of shares outstanding. More shares outstanding dilutes the value of the existing shares...so in a perfect world, this depresses the value of the stock.
